(OTC: ESYL), a Nevada Corporation, announced today that it has entered into a Share Exchange Agreement whereby the Company will issue 90,000,000 shares of its common stock in exchange for all of the issued and outstanding shares of Fullco Holding Limited, an Hong Kong corporation.
FullCo currently operates, controls and beneficially owns the Nanotechnology business in China through a series of contractual arrangements with Xi’an Landway Bionanometer Technology Joint-stock Co, Ltd., a joint stock limited liability company formed under the laws of the PRC, established in August 2001 and located in Xi’an China. Through these contractual arrangements, FullCo has the right to advise, consult, manage and operate Xi’an Landway, as well as collect and own all of its net profits. In addition, FullCo, Xi’an Landway and the Xi’an Landway shareholders have entered into a series of agreements under which voting control over the outstanding shares of Xi’an Landway will be vested in FullCo and the board of directors of FullCo,
Xi’an Landway Bionanometer Technology Co., Ltd. presently produces nanometer level raw material powder of nanometer level health food and daily cosmetic using its production base and equipments.
The China nanosciences market represents an existing model for growth of nanotechnology for Fullco.
