Focus Media Announces Follow-On Offering of 6,655,700 ADSs

SHANGHAI, China, Jan. 27 /Xinhua-PRNewswire/ -- Focus Media Holding

Limited (Nasdaq: FMCN) today announced a follow-on offering of 6,655,700

American depositary shares ("ADSs"), each representing ten ordinary shares,

at a price to the public of $79.50 per ADS. 1,500,000 of these ADSs will be from new shares issued and sold by Focus Media, and 5,155,700 of these ADSs will be sold by certain shareholders of Focus Media, consisting of David Feng Yu, the former chief executive officer of Target Media, who currently serves as our co-chairman, certain Carlyle funds that were the former shareholders of Target Media, and the former shareholders of Framedia. Focus Media will not receive any proceeds from the sale of ADSs by the selling shareholders. In addition, the underwriters have been granted an option to purchase up to an additional 998,355 ADSs from Jason Jiang, our founder, chairman and chief executive officer, within 30 days from the date of the prospectus supplement.

Citigroup Global Markets Inc., Credit Suisse Securities (USA) LLC,

Goldman Sachs (Asia) L.L.C. and Merrill Lynch & Co. are serving as the joint

bookrunners for this offering.

The offering of these securities is being made only by means of a

prospectus supplement, filed with the U.S. Securities and Exchange Commission

in connection with the filing of an automatic shelf registration statement
