Vimicro to Hold an Annual General Meeting on December 14, 2006

BEIJING, Nov. 27 /Xinhua-PRNewswire/ -- Vimicro International Corporation

(Nasdaq: VIMC), a leading fabless semiconductor company that designs and

develops multimedia semiconductor products and solutions, today announced

that it will hold an annual general meeting at Vimicro’s executive office in

Beijing on December 14, 2006. Vimicro seeks to obtain shareholder approval

of an amendment to its 2005 Share Incentive Plan to increase the maximum

aggregate number of shares, which may be issued pursuant to all awards

granted under the Plan to 21,065,505 shares. Vimicro’s board of directors

has fixed the close of business on November 13, 2006 as the record date for

determining the shareholders entitled to receive notice of and to vote at the

annual general meeting or any adjournment or postponement thereof.
