TAIPEI, Taiwan, June 15 /Xinhua-PRNewswire-FirstCall/ -- Chunghwa Telecom Co., Ltd. ("CHT"; TAIEX: 2412; NYSE: CHT) today held its annual general meeting. The meeting was hosted by Chairman Tan Ho Chen. Attended shareholders represented 88.33% of total outstanding shares.
The Company's operation reports and financial statements for 2006 were approved by Shareholders. Additionally, the meeting passed proposals including:
1. the amendment to the Company's Articles of Incorporation,
2. the increase of the Company's capital from capital surplus, issuance
of new shares and conducting capital reduction,
3. the amendment to the Company's Procedures of Acquisitions or
Disposition of Assets,
4. the amendment to the Company's Endorsement/Guarantee Procedures,
5. the formulation of the Company's Procedures for loaning of funds,
6. the amendment to the Company's Regulations of Election of Directors
and Supervisors and
7. the election of the Company's 5th term Directors and Supervisors,

The proposal of the earnings distribution for 2006 was also passed in the meeting. Board directors and supervisors will be distributed cash remunerations of NT$35.9 million, while employees will be distributed cash bonuses of NT$1,256.6 million. Dividend per share for common and preference shares is NT$1 in new stock and NT$3.58 in cash.
Representatives of MOTC, Tan Ho Chen and Shyue-Ching Lu won another term as chairman and president respectively in the 1st Meeting of the Company's 5th Board of Directors.
