SINGAPORE, May 31, 2012 /PRNewswire-Asia/ -- Pactiv Asia Pte Ltd today confirmed that a High Court legal suit (Suit No. S39/2012/P) have been commenced against various parties, including its former general managers, Jack Ng Lye Huat and Tony Tay Kim Huat. Pactiv Asia did not wish to comment further, given that the legal proceedings are pending. Pactiv Asia however clarified that G-Pack Solutions Pte Ltd and its wholly-owned company, Dongguan G-Pack Co Ltd (the companies set up by or in which Jack Ng and Tony Tay are involved), are not in any way related to Pactiv Asia or the Pactiv group. G-Pack and Dongguan G-Pack, together with Xu Bei, a registered holder of substantial shareholding in G-Pack, are the other defendants in the suit.
According to the Statement of Claim filed in the High Court of Singapore in January 2012, both Jack Ng and Tony Tay were involved in 2009, with the incorporation of G-Pack, a competing business.
It is alleged that Tony Tay had done so whilst still in Pactiv Asia's employ and had accordingly breached his duties and obligations to Pactiv Asia; and that Jack Ng had knowingly participated in this. Further, Jack Ng had undertaken not to compete directly or indirectly for a specified period, with the business of Pactiv Asia and their related companies, when he left Pactiv Asia's employ. He had therefore acted contrary to his undertaking.
It is also alleged in the Statement of Claim that Tony Tay, whilst still in Pactiv Asia's employ, outsourced lucrative and profitable orders to Dongguan G-Pack without disclosing his conflict of interests, and that he had siphoned business away to G-Pack, using his G-Pack email address and signing off as the "General Manager of G-Pack Asia".
It is further alleged in the Statement of Claim that the defendants misrepresented and gave the false market impression that G-Pack and Dongguan G-Pack are related to Pactiv Asia and part of the Pactiv group.
