Securities Litigation, Case No. 1:20-cv-04420-PAE (SDNY) (the "Class Action") that the case against the Company has been dismissed in its entirety.
On June 9, 2020, plaintiffs filed the Class Action with the United States District Court for the Southern District of New York (the "Court") against the Company (formerly, "Hebron Technology Co., Ltd.") and its then CEO and CFO on behalf of a class of purchasers of the Company's common shares between April 24, 2020 and June 3, 2020, inclusive, alleging violations of federal securities law. Specifically, the plaintiffs alleged that the Company had misrepresented and omitted material information in public statements by failing to disclose certain transactions as related party transactions in violations of §§ 10(b) and 20(a) of the Securities Exchange Act of 1934 and the SEC rules thereunder. The Company responded by filing a motion to dismiss the case for failure to state a claim. On September 22, 2021, the Court granted the motion and dismisses the Class Action in its entirety, and the case was closed.
