Charm Communications Inc. Announces Results of 2011 Annual General Meeting

BEIJING, January 4, 2012 /PRNewswire-Asia-FirstCall/ -- Charm Communications Inc. (NASDAQ: CHRM) ("Charm" or the "Company"), a leading advertising agency in China, today announced that it has obtained shareholder approval for all matters submitted for approval at the Company's 2011 annual general meeting held in Hong Kong on December 30, 2011.

The following resolutions proposed by the Company were approved by the Company's shareholders:

  1. Ratification of the appointment of Deloitte Touche Tohmatsu as the Company's independent auditors.
  2. Ratification of the 2011 Share Incentive Plan that was approved and adopted by the Board of Directors on November 30, 2011. The 2011 Share Incentive Plan authorizes the issuance of up to 2,000,000 ordinary shares of the Company in the form of options, restricted shares or restricted share units.
