AerCap Holdings N.V. Announces the Filing of a Registration Statement for Secondary Public Offering of Its Ordinary Shares

AMSTERDAM, July 11 /Xinhua-PRNewswire/ -- AerCap Holdings N.V. ("AerCap," NYSE: AER), an integrated global aviation company with a leading market position in aircraft and engine leasing, trading and parts sales, today announced the filing of a registration statement on Form F-1 relating to a secondary offering of 20,000,000 of its ordinary shares. The ordinary shares will be sold by companies controlled by funds and accounts affiliated with Cerberus Capital Management, L.P. ("Cerberus"). It is contemplated that Cerberus will grant the underwriters a 30-day option to purchase up to an additional 3,000,000 ordinary shares. Immediately after the offering, Cerberus will remain a significant shareholder of AerCap. AerCap will not receive any of the proceeds from the offering.

Morgan Stanley, Goldman, Sachs & Co., Lehman Brothers Inc. and Merrill Lynch are acting as joint book running managers and as representatives for the underwriters of this offering.
